Terms and Conditions for Avandar Labs

This Terms of Service Agreement ("Agreement") is entered into by and between Avandar Labs ("Company," "we," "us," or "our") and you, the user ("User," "you," or "your"). This Agreement governs your access to and use of the services, software, and platform provided by Avandar Labs (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

1.1. Social Sector: Refers to nonprofits, non-governmental organizations (NGOs), for-profit social enterprises, and individuals or communities running informal projects (i.e., not formally registered as a company) aimed at a social cause and/or positive societal impact. This definition explicitly excludes for-profit organizations where profit maximization is the top priority.

1.2. Private Sector: Refers to any organization not meeting the above definition of Social Sector, including traditional for-profit corporations, startups, and consultancies whose primary goal is financial return.

2. Eligibility & Pricing

2.1. The pricing tiers offered by Avandar Labs (Free, Basic, Premium, Enterprise) are exclusively available to organizations and individuals truthfully working within the Social Sector as defined in Section 1.1.

2.2. Any organization not qualifying as Social Sector must subscribe under the Private Sector pricing plan:

A. Avandar Starter: $49/user/month

B. Avandar Impact: $99/user/month

2.3. If a Private Sector organization is found to be using the Social Sector pricing plan in bad faith, Avandar Labs reserves the right to immediately terminate service and may require retroactive payment of the difference between the Social Sector pricing plan and the applicable Private Sector pricing plan for the entire period of use.

2.4. Avandar Labs may verify an organization’s sector status through automated metadata analysis (e.g., company descriptions, dataset titles, column names) or manual review. Users agree to provide truthful information upon signup regarding their organization's sector status.

3. Acceptable Use Policy

Avandar Labs reserves the right to terminate service — with or without notice — to any organization or user, regardless of sector, that engages in or supports activities that:

3.1. Dehumanize individuals or promote hate, discrimination, or violence.

3.2. Endanger human life, including but not limited to: promoting misinformation that leads to harm, violating human rights, or supporting activities that put people at physical or psychological risk.

3.3. Use the platform for illegal, unethical, or fraudulent purposes.

3.4. Attempt to reverse engineer, scrape, or extract Avandar Labs’s proprietary data curation or internal architecture.

3.5. Violate the rights of others, including intellectual property, privacy, or contractual obligations.

Users agree that Avandar Labs may suspend or terminate access for violations of this clause, and that no refund will be issued for terminated subscriptions.

4. User Responsibilities

4.1. Users must comply with all applicable local, national, and international laws and regulations in their use of the Service.

4.2. Users must not use Avandar Labs for illegal, unethical, or harmful purposes, as further detailed in Section 3 (Acceptable Use Policy).

4.3. Users must not reverse engineer, scrape, or attempt to extract Avandar Labs’s proprietary data curation or internal architecture.

Intellectual Property

5.1. Users retain all ownership rights to the data they upload, create, or store using the Avandar Labs Service.

5.2. Avandar Labs’s software, trademarks, service marks, logos, and documentation are owned by Avandar Labs and are licensed under the Common Public Attribution License Version 1.0 (CPAL).

5.3. While the codebase for Avandar Labs is open source, certain curated datasets, plugins, and marketplace features offered through the Service are proprietary and are not redistributable without explicit permission from Avandar Labs.

Termination & Suspension

6.1. Avandar Labs may suspend or terminate your access to the Service for violation of these Terms, including but not limited to: misrepresentation of sector status, prohibited conduct as outlined in Section 3, or non-payment of applicable fees.

6.2. Users may cancel their subscription at any time via their account dashboard. Upon cancellation, access to the Service will cease at the end of the current billing period.

7. Disclaimers & Limitations of Liability

7.1. Avandar Labs provides the Service “as is” and “as available,” without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

7.2. To the maximum extent permitted by law, Avandar Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (A) your access to or use of or inability to access or use the Service; (B) any conduct or content of any third party on the Service; (C) any content obtained from the Service; and (D) unauthorized access, use, or alteration of your transmissions or content.

8. Governing Law & Dispute Resolution

8.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

8.2. Any dispute arising out of or relating to this Agreement, including its existence, validity, interpretation, performance, breach, or termination, shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, New York.

9. Amendments

Avandar Labs may update these Terms at any time. We will provide notice of any material changes via email to the address associated with your account or through an in-app notification. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms.
